Version: 1.0 · Effective date: 24 June 2026 · Last updated: 24 June 2026
This End-User License Agreement (this "Agreement") is a legal contract between you, as either an individual or an Entity (as defined below), and 23 Investments GmbH and its affiliated companies (collectively, "23 Investments"). It governs the self-hosted distribution of AI Admin Panel — that is, the Software that you download, install, and run on infrastructure that you own or control. If you use the managed cloud service at cloud.aiadminpanel.com, the Terms of Service apply instead of (or in addition to) this Agreement.
READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, OBTAINING A LICENSE KEY, OR OTHERWISE ACCESSING OR USING THE SOFTWARE.
THE SOFTWARE IS COPYRIGHTED AND IS LICENSED TO YOU UNDER THIS AGREEMENT, NOT SOLD TO YOU. BY DOWNLOADING, INSTALLING, OBTAINING A LICENSE KEY, OR OTHERWISE ACCESSING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY ITS TERMS. IF YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF A COMPANY, ORGANIZATION, INSTITUTION, OR GOVERNMENT BODY (AN "ENTITY") AS ITS AUTHORIZED REPRESENTATIVE, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY, AND "YOU" REFERS TO BOTH YOU AND THAT ENTITY.
IF YOU ARE NOT WILLING TO BE BOUND BY THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE, AND DELETE ANY COPIES YOU MAY HAVE. THIS AGREEMENT, TOGETHER WITH ANY ADDITIONAL TERMS OR POLICIES INCORPORATED BY REFERENCE (INCLUDING THE ACCEPTABLE USE POLICY AND PRIVACY POLICY), REPRESENTS THE ENTIRE AGREEMENT BETWEEN YOU AND 23 INVESTMENTS CONCERNING THE SELF-HOSTED SOFTWARE.
0. Definitions
- "Software" means the AI Admin Panel application supplied by 23 Investments for self-hosted installation, including the primary panel binary, its embedded user interface, the lightweight Agent installed on worker nodes, command-line tooling, and any updates, enhancements, modifications, or additions made available to you. The Software does not include Third-Party Software (Section 7) or Customer Workloads (Section 6).
- "Documentation" means the user and administrator guides accompanying the Software.
- "License Key" means the credential that activates the Software and determines its tier and feature entitlements.
- "Authorized Device" means a single physical or virtual server, owned, leased, or otherwise controlled by you, on which you are licensed to install and run the Software in accordance with your License Key.
- "AI Features" means the optional functions of the Software that let you connect and use third-party or self-hosted AI models of your choice — for example, a model gateway that routes requests to an AI provider you configure (such as Anthropic, OpenAI, or OpenRouter), to models you run locally, or to the inference/GPU API of your hosting provider — together with operational functions (such as anomaly detection, recommendations, and automated remediation) that rely on the model you have configured. 23 Investments does not itself provide any AI model, inference, or training service. AI Features are further described in Section 5.
- "Customer Workloads" means the services, containers, applications, websites, data, and content that you or your end users deploy, run, or manage using the Software.
1. License
1.1 Grant of License. Subject to your full and ongoing compliance with this Agreement, including payment of all applicable fees, 23 Investments grants you, and you accept, a personal, limited, non-exclusive, non-transferable (except as set out in Section 1.6), non-assignable, revocable license to use the Software and Documentation during the Term, in machine-readable object-code form only, solely as authorized in this Agreement.
1.2 Scope of Use. Your license is conditioned on the following restrictions. You may install and run the Software, activated by a valid License Key, on the number of Authorized Devices and within the tier limits (for example, number of managed customers, servers, services, and enabled features) associated with your License Key. The free tier is limited as stated at the point of activation (for example, up to 3 managed customers and 1 server); paid tiers expand these limits per your subscription. Installing the Software on a worker node via the Agent for the purpose of operating a single licensed deployment is permitted under the same License Key, subject to your tier's server limit. You may not exceed the entitlements of your License Key. Any use of the Software in breach of these restrictions is unlicensed.
1.3 Lawful Use. The Software may not be used for any illegal or fraudulent activity, including spamming, phishing, spoofing, pharming, malware distribution, or any other scam, fraud, or cyber-crime. Your use of the Software is additionally governed by the Acceptable Use Policy, which is incorporated by reference. We may take any action we reasonably deem necessary (including suspension or termination of License Keys and reporting to authorities) to prevent illegal or fraudulent use, without liability to you.
1.4 Evaluation / Trial Licenses. If you obtain a trial or evaluation version, it activates the Software for a limited time (currently 14 days, unless a different period is stated at sign-up) (the "Trial Period"). During the Trial Period you may use the Software for internal evaluation only. Upon expiry of the Trial Period you must either obtain a paid License Key or cease use and remove the Software. Unless you obtain a paid License Key, this Agreement and your rights under it terminate at the end of the Trial Period.
1.5 Copies, Modifications, and Reverse Engineering. Except and only to the extent such a restriction is prohibited by applicable law (including the mandatory interoperability rights under Swiss and EU copyright law), you may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Software or any License Key, and you may not modify or adapt the Software or any License Key. Any permitted copies must retain all copyright and proprietary notices. No other copies may be made.
1.6 Assignment. You may not sublicense, lease, rent, or lend your rights in the Software, Documentation, or License Keys without our prior written consent, except that you may transfer this Agreement in full in connection with a sale of all or substantially all of the assets to which it relates, provided the assignee assumes all of your obligations and the license remains limited to the originally Authorized Device(s). 23 Investments may assign this Agreement without restriction. Any assignment in violation of this Section is void.
1.7 White-Label / OEM Use. If your License Key is designated as an OEM, partner, or white-label license, additional terms (including branding, bulk-provisioning, and resale terms) apply as set out in your separate partner or OEM agreement with 23 Investments, which prevails over this Agreement to the extent of any conflict.
1.8 Support, Maintenance, and Updates. Except as expressly agreed in a separate support plan, 23 Investments has no obligation to provide support, maintenance, updates, or upgrades under this Agreement. The Software may check for and apply signed updates automatically; you consent to such automatic updates and to the integrity-verification mechanisms used to deliver them. Any supplemental code provided as part of a support plan is part of the Software and subject to this Agreement.
2. Intellectual Property, Telemetry, and Confidentiality
2.1 Proprietary Rights. The Software and Documentation are proprietary to 23 Investments and protected by copyright and other intellectual-property laws and treaties. As between you and 23 Investments, 23 Investments and its licensors own all right, title, and interest in and to the Software and Documentation. Except for the limited license expressly granted here, this Agreement grants you no ownership or other rights in the Software, the Documentation, or our trademarks.
2.2 Use Reporting and Telemetry. The Software contains license-validation and telemetry functions. To validate your entitlements and to operate, secure, and improve the Software, the Software may transmit to us data such as the instance identifier, Software version, License Key, server/operating-system characteristics, and aggregate counts (for example, number of managed customers and services and template-usage counts). Where this data constitutes personal data, we handle it in accordance with the Privacy Policy. You agree not to block or interfere with the transmission of data required for license compliance. Blocking such data is a breach of this Agreement.
2.3 License Validation and Expiration. Your License Key may carry an expiry date. The Software validates the License Key against our license service and caches the result locally for up to 7 days to permit graceful offline operation. If a License Key expires or cannot be validated, the Software will continue to operate but may display a notice and enforce the entitlements of a lower tier (for example, the free-tier limits); the Software is designed to degrade gracefully and not to "brick" your deployment. If your License Key is lost, stolen, or misused, notify us promptly so that a replacement can be issued and the affected key retired.
2.4 Audit. During the Term and for two (2) years afterward, on reasonable written notice, we may audit your use of the Software to verify compliance and fee payment. If an audit reveals an underpayment exceeding five percent (5%) for the audited period, or a material breach, you will promptly pay the underpayment plus the reasonable cost of the audit, in addition to our other remedies.
2.5 Confidentiality. You will permit only authorized users holding valid License Keys to use the Software or view the Documentation, and you will not make the Software, Documentation, or any License Key available to third parties except as expressly permitted. You will cooperate with us to prevent unauthorized use, copying, or disclosure.
3. Fees and Taxes
3.1 License Fees. Paid tiers and add-ons require payment of the applicable fees as described at the point of purchase. Subscription fees are due in advance of each term and may be charged to your payment instrument on renewal. We may change fees for future renewal terms on at least three (3) months' prior notice; the changed fee applies from the start of the next renewal term unless you terminate beforehand.
3.2 Renewals and Refunds. Subscriptions renew automatically for successive terms of the same length unless either party gives notice of non-renewal at least 30 days before the end of the then-current term. Except where required by mandatory applicable law, all fees are non-refundable; we currently do not offer refunds.
3.3 Taxes. Fees are exclusive of taxes. You are responsible for all sales, use, VAT, withholding, and similar taxes and duties (other than taxes on our net income), and you authorize us to charge any such reimbursable taxes to your payment instrument.
4. Term and Termination
4.1 Term. This Agreement is effective upon your acceptance or your first download, installation, or use of the Software, and continues until terminated or expired as provided here (the "Term").
4.2 Termination. This Agreement terminates automatically if you breach any material term, including non-payment. On termination we may suspend or disable your License Key(s); consistent with Section 2.3, the Software is designed to degrade rather than become inoperable. You may terminate at any time by ceasing use of the Software and removing it from your Authorized Devices.
4.3 Effect of Termination. On termination or expiry, you will stop using the Software and Documentation and either remove and destroy all copies and License Keys or return them to us. Sections 2, 3 (for accrued amounts), 5.5–5.6, 6, 7, 8, and 9 survive termination.
5. AI Features
5.1 You choose the AI provider; we provide no AI. The Software does not include any AI model, inference service, or training service operated by 23 Investments, and 23 Investments does not provide AI as a service. The AI Features are an integration and orchestration layer: they let you connect and use AI models that you select and control, whether (a) a third-party AI provider you configure with your own account or API key (for example, Anthropic, OpenAI, or OpenRouter), (b) models you run locally on your own infrastructure (for example, via Ollama), or (c) the inference/GPU API of your hosting provider. This keeps your AI usage sovereign — you decide which provider processes your data and where. Operational functions such as anomaly detection, recommendations, and automated remediation actions (for example, restarting failed containers, rotating logs, or pruning images) likewise rely on the model you have configured.
5.2 Your provider relationship. You are solely responsible for the AI provider(s) you connect, including obtaining and paying for them, complying with their terms and usage policies, and the lawfulness of the data you send to them. Any data the Software routes to a provider you configure, or to a local/host model you choose, is processed under your relationship with that provider (or, for local models, entirely within your own environment). Such providers are your providers and processors, not sub-processors of 23 Investments.
5.3 No training on your data. 23 Investments does not train any AI model and does not use your data, prompts, or outputs to train or improve any AI model. Where you use a third-party provider, that provider's data practices govern; we recommend selecting providers that offer no-training and confidentiality commitments for API data.
5.4 Dependency on third-party models. AI Features depend on the models and services you connect, which are outside our control. We may change which providers and integrations the Software supports in order to maintain or improve it. Changes to, deprecation of, or outages of a provider or model may cause AI Features to be temporarily or permanently unavailable. You acknowledge and accept this risk and will not bring claims against 23 Investments for damages resulting from the conduct, changes, or unavailability of any AI provider or model.
5.5 Output accuracy and human oversight. AI systems can produce errors, omissions, "hallucinations," and biased or inaccurate output. We do not warrant the accuracy, completeness, objectivity, or fitness of any AI-generated output, recommendation, or automated action produced through a model you connect. You are solely responsible for reviewing AI output before relying on it. For any automated remediation action, you are responsible for configuring appropriate safeguards, approvals, and backups, and for monitoring the results; you should not enable autonomous actions on production or critical systems without adequate human oversight and recovery measures. This is especially important to avoid damage that could result in injury to life, limb, or health.
5.6 Prohibited and high-risk uses. You must not use AI Features in violation of the Acceptable Use Policy, of any AI provider's usage policy, or of applicable law (including, where relevant, the EU AI Act and equivalent rules). AI Features are not designed or intended for use in hazardous environments requiring fail-safe performance (for example, nuclear facilities, aircraft navigation, life-support, or weapons systems), and we disclaim all warranties of fitness for such uses.
6. Customer Workloads
You are solely responsible for your Customer Workloads, including the lawfulness, security, licensing, and content of everything you or your end users deploy, run, or manage using the Software, and for compliance with all laws applicable to those workloads (including data-protection, consumer, marketing, and industry-specific laws). The Software is a management tool; 23 Investments does not operate, control, or assume responsibility for your Customer Workloads. You will maintain a working means of receiving abuse and security notices regarding your deployment.
7. Third-Party Software
The Software incorporates third-party and open-source components (which may include, for example, PostgreSQL, Valkey, Traefik, Zitadel, and Docker) provided under their own license terms (the "Third-Party Terms"), described in the accompanying notices file or Documentation. You may use those components in conjunction with the Software consistent with this Agreement; you may have broader rights under the applicable Third-Party Terms. Nothing here restricts your rights under, or imposes obligations beyond, the applicable Third-Party Terms.
8. Warranty, Disclaimer, and Limitation of Liability
8.1 Limited Warranty. We warrant that we have the right to license the Software to you and that, for 90 days following the date of purchase, the Software will perform substantially in accordance with its Documentation.
8.2 Disclaimer. EXCEPT FOR THE LIMITED WARRANTY IN SECTION 8.1, THE SOFTWARE, DOCUMENTATION, AI FEATURES, AND THIRD-PARTY SOFTWARE ARE PROVIDED "AS IS," AND 23 INVESTMENTS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED. YOU ASSUME RESPONSIBILITY FOR SELECTING AND USING THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS.
8.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, 23 INVESTMENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA. 23 INVESTMENTS' TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE LICENSE FEES ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.4 Mandatory Liability (Switzerland). Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under applicable law. In particular, 23 Investments remains liable without limitation (i) for intent and gross negligence, (ii) for injury to life, limb, or health, (iii) under mandatory product-liability law, and (iv) to the extent of any guarantee it has expressly assumed. For slightly negligent breach of an essential contractual obligation (a "cardinal obligation"), liability is limited to the foreseeable damage typical for this type of contract.
8.5 Indemnification. You will indemnify and hold harmless 23 Investments and its officers, directors, and employees from and against claims, liabilities, losses, damages, and reasonable costs (including legal fees) arising out of your use of the Software or your Customer Workloads in a manner not authorized by this Agreement or in violation of law or the Acceptable Use Policy.
9. General
9.1 Feedback. If you provide feedback or suggestions, we may use them without restriction or compensation, and you waive any moral rights in them.
9.2 Governing Law and Venue. This Agreement is governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is the competent courts at the registered seat of 23 Investments GmbH (Bezirksgericht Höfe, Canton of Schwyz), subject to any mandatory venue available to consumers under applicable law.
9.3 Severability; No Waiver; Headings. If any provision is held unenforceable, the remaining provisions remain in effect and the provision will be enforced to the greatest extent permitted. Failure to enforce a right is not a waiver of it. Headings are for reference only.
9.4 Amendments. We may amend this Agreement from time to time by posting an updated version. Material changes take effect on the earlier of (i) your first use of the Software with actual knowledge of the change, or (ii) 30 days after publication. Your continued use after the amendment takes effect constitutes acceptance. Disputes are resolved under the version in effect when they arose.
9.5 Export Controls. You may not use or export the Software except as permitted by applicable law. You represent that you are not located in an embargoed country and are not on any applicable restricted-party list, and that you will not use the Software for prohibited end-uses (including weapons of mass destruction).
9.6 Governing Language. This Agreement is provided in English. Any translation is for convenience only; the English version governs in case of conflict.
